Coppell, TX, March 10, 2010 - Mannatech, Incorporated (NASDAQ - MTEX), a global pioneer in the development of high-quality health, weight and fitness, and skin care solutions based on nutritional science, today reported net income of $2.2 million or $0.08 cents per diluted share for the fourth quarter ending December 31, 2009, compared to net income of $0.6 million or $0.02 cents per diluted share for the fourth quarter of 2008. The company reported an operating loss of $0.3 million compared to operating income of $4.7 million in the fourth quarter of 2008. Results for 2008 were favorably impacted by a reversal of a litigation expense accrual in the fourth quarter.

Fourth quarter net sales for 2009 were $70.1 million, a decrease of 8.4%, compared to $76.5 million in the fourth quarter of 2008.  North American sales declined 19.7% to $36.4 million compared to $45.3 million in the fourth quarter of 2008. International sales of $33.7 million increased 8.0% compared to $31.2 million in the fourth quarter of 2008; excluding new country openings international sales increased by 4.2%.  International sales showed significant gains in South Africa and Australia compared to sales in the fourth quarter of 2008.

Also in the fourth quarter the company announced Dr. Robert Sinnott, chief science officer, and Stephen Fenstermacher, chief financial officer, were named Co-CEOs of the company. In addition, Randy Bancino was named president, global business operations and expansion.

Stephen Fenstermacher, Co-CEO & chief financial officer, said, “Our focus since mid-year of 2009 was to return to traditional cost levels for cost of sales and commissions; we accomplished that goal in the fourth quarter.  Equally important, fourth quarter 2009 EBITDA⁽¹⁾ was $2.9 million, evidencing a return to positive operating cash flow.”

Sales for the full year 2009 were $289.7 million, down 12.9% from $332.7 million for the full year 2008.  The company reported a net loss for the full year of $17.4 million, compared to the full year 2008 net loss of $12.6 million.  The loss per share was $0.66 for the full year 2009, compared to a loss per share of $0.48 for the full year 2008.

New Associates and Members for the full year 2009 were 144,631 up 9.2% compared to 132,447 in the full year 2008.  New independent Associates and Members totaled 27,527 in the fourth quarter of 2009, compared to 34,383 in the fourth quarter of 2008.  Total independent Associate and Member count based on a 12-month trailing period was approximately 513,000 as of December 31, 2009 as compared to 531,000 as of December 31, 2008.

(COPPELL, Texas) January 19, 2010 - Mannatech, Incorporated (NASDAQ: MTEX - News), a global pioneer in the development of high-quality health, weight and fitness, and skin care solutions based on nutritional science, announced winners of its OsoLean^® Challenge, an international contest challenging its independent sales Associates in the United States, Canada and South Africa to try OsoLean powder for eight weeks and track the changes in their waists. The top three winners from the U.S. lost a combined total of 30 inches off their waists.

Sherri Burke of Nyssa, Ore., had the greatest percentage of total inches lost at 27 percent. In second and third place were Djuna Smith of Seattle, who lost 18 percent, and Jackie Denig of Payette, Idaho, who lost 16 percent.

(COPPELL, Texas) January 13, 2010 - Mannatech, Incorporated (NASDAQ: MTEX - News), a global pioneer in the development of high-quality health, weight and fitness and skin care solutions based on nutritional science, obtained a Final Judgment and Permanent Injunction in its lawsuit against Techmedica Health (Techmedica), and Ionx Holdings (Ionx) prohibiting them from the manufacture, use or sale of products infringing Mannatech’s patents and requiring them to pay Mannatech $250,000 in damages. 

In May 2006, Mannatech filed a lawsuit against Techmedica and Ionx in the United States District Court for the Northern District of Texas, Dallas Division alleging infringement of Mannatech’s patents (U.S. Patents 6,929,807; 7,157,431; 7,196,064; 7,199,104; and 7,202,220).¹  The parties recently agreed to settle this case and, pursuant to their agreement, United States District Judge Solis entered his Final Judgment and Permanent Injunction.  

“This judgment further validates that our patents are good, valid and enforceable under law, and that Mannatech will vigorously enforce its rights under these patents,” said Keith Clark, Mannatech executive vice president and chief legal officer.  Mannatech was represented by Eric Pinker, Mark Turk and Renee Strickland, with the Dallas-based litigation firm of Lynn Tillotson Pinker & Cox, LLP. 

The final judgment includes findings that Mannatech’s patents are “valid and enforceable” and infringed by Techmedica and Ionx.  Additionally, it includes a broad injunction that prohibits Techmedica and Ionx from “making, using, offering to sell, selling, or otherwise distributing within the United States, or importing into the United States, infringing products, which include the current formulations of Activive^®, Candidol^®, Claritose^®, Lupazol^®, Nutratose^®, Respitrol^®, Rhumatol^®, Synaptol^® and Viratrol^®, as well as any other products that infringe the patents in suit” and further awards Mannatech damages of $250,000.  

The settlement with Ionx and Techmedica comes on the heels of several rulings in the lawsuit favorably construing Mannatech’s patents, and is the latest in a series of cases in which Mannatech has obtained injunctions preventing companies from infringing on Mannatech’s patents.

Drs. Talitha Best and Eva Kemps of Flinders University in Adelaide, Australia, and Dr. Janet Bryan of the University of South Australia in Adelaide, Australia, published their findings of the 12-week study in the January 2010 issue of Developmental Neuropsychology, a peer-reviewed scientific journal.

(COPPELL, Texas) December 18, 2009 - Mannatech, Incorporated (NASDAQ: MTEX - News), a global pioneer in the development of high-quality health, weight and fitness, and skin care solutions based on nutritional science, obtained a judgment finding that Green Life, LLC (Green Life), and Xiong Lo (Lo) infringed Mannatech patents (U.S. Patents 6,929,807; 7,157,431; 7,196,064; 7,199,104; and 7,202,220). 

Senior United States District Judge A. Joe Fish in the U.S. District Court for the Northern District of Texas, Dallas Division, issued a final judgment that entered a broad permanent injunction against Green Life and Lo prohibiting them from “making, using, offering to sell, selling, or otherwise distributing within the United States, or importing into the United States, defendant’s product, Glyco 8, as well as products that are substantially equivalent in composition to Glyco 8, and any other products that infringe the patents in suit.[1]“

“This case underscores our commitment to pursuing injustice against the company and our core technologies. We will continue to do what is necessary to protect our intellectual property,” said Keith Clark, Mannatech’s executive vice president and chief legal officer. 

On July 15, Mannatech filed a complaint for patent infringement alleging that Green Life and Xiong Lo infringed Mannatech’s patents entitled “Compositions of Plant Technology as Dietary Supplements,” through Green Life’s purchase of the dietary supplement Glyco 8 from defendant Boston Mountain Laboratories, Inc. Mannatech also named Boston Mountain, the entity that actually manufactured the infringing product, as a defendant. Mannatech previously settled its claims against Boston Mountain through the entry of an agreed final judgment that enjoined Boston Mountain from manufacturing all products infringing on Mannatech patents in question.
